No other EU country has digitalised company formation as consistently as Estonia. With e-Residency, an Estonian company can be set up, signed and managed from anywhere in the world – without a notary appointment and without paper. The tax system is just as consistent: anyone choosing Estonia for company formation and keeping profits in the company pays no corporate tax on them – regardless of their amount and without any time limit.
0% on retained profits
Estonia does not tax a company’s profit when it is earned, but only when it is distributed. As long as profits remain in the company and are reinvested, no corporate income tax is due – for an unlimited period. This model makes the Estonian OÜ an ideal vehicle for businesses that want to grow and build capital.
Tax only arises on distribution: 22% of the gross amount, calculated as 22/78 of the net distribution. Since 2025 this rate has applied uniformly to all distributions; an increase to 24% planned for 2026 was cancelled by the Estonian parliament. Once the company has paid, taxation in Estonia is complete. The comparison at a glance:
| Profit stays in the company | Profit is distributed | |
|---|---|---|
| Corporate income tax | 0% | 22% of the gross amount |
| Example with €100,000 profit | €0 tax, €100,000 available | €22,000 tax, €78,000 distribution |
| Tax return | No tax due | Return for the month of distribution |
e-Residency: digital formation
e-Residency is a government-issued digital identity that Estonia has offered to non-Estonians since 2014. It allows documents to be signed digitally with legal effect and dealings with the authorities to be handled online – from formation to tax returns and annual reports. An Estonia OÜ can be formed with share capital from just €0.01 per shareholder.
Important for planning: e-Residency is not a residence and does not make its holder tax resident in Estonia. It is the digital tool with which the company is formed and managed. All details are explained by the official e-Residency programme.
Contact person and address
If the management board of an Estonian company is located abroad, Estonian commercial law requires a contact person in Estonia. Official letters and notices are delivered to this person, and their address then serves as the company’s registered address. Only notaries, attorneys, sworn auditors, tax representatives or licensed corporate service providers may act as contact person.
The contact person receives no power of representation and does not need to be a shareholder or board member. The Estonian Tax and Customs Board explains the requirement on its page on the contact person for e-resident companies.
The formation process
Anyone planning company formation in Estonia follows a clear, digital process:
- Apply for e-Residency: the application is made online; after approval, the card is collected in person at a pick-up location.
- Appoint a contact person and a registered address: if the management board is abroad, a licensed provider is required.
- Set the company name and share capital: share capital starts at €0.01 per shareholder.
- Formation in the business portal: founding documents are signed digitally with e-Residency and submitted.
- Tax registration: VAT registration with the tax authority follows if required.
Once registered, the OÜ can act immediately and be managed entirely online from day one.
Accounting and obligations
The key obligations for bookkeeping, accounts, audit and VAT at a glance – so you know from the start what running your company involves.
| Obligation | Rule |
|---|---|
| Bookkeeping | Under Estonian standards or IFRS; keep records for seven years |
| Annual accounts | Annual report with the commercial register within six months (30 June for a calendar year) |
| Statutory audit | Audit from 2 of 3: revenue €5m, total assets €2.5m, 50 staff; review from 2 of 3: €2m, €1m, 24 staff |
| Tax return | Monthly return only in months with a distribution |
| VAT: registration | From €40,000 annual turnover; rate 24%; proof of a link to Estonia |
| VAT: returns | Monthly by the 20th of the following month |
| Ongoing register duties | Contact person if management is abroad; keep beneficial owner data up to date |
Since August 2025, the tax authority has required proof of an economic connection to Estonia before issuing a VAT number – a point that should be settled before formation. All filings can be handled entirely online via the digital government portals.
As of 2026. Bookkeeping and filings are usually handled by specialised accountants in the target country.
Is an Estonian company right for you?
Whether an Estonian OÜ is right for you depends above all on whether profits are reinvested and how you want to run the business:
Suitable for
- Digital service providers who reinvest their profits
- Founders who want to run everything online
- Software and agency businesses with EU clients
- Entrepreneurs building capital for growth
Less suitable for
- Owners planning large regular distributions
- Sellers who need a VAT number from day one
- Founders expecting distributions to be tax-free
- Shops serving walk-in customers only
If you want to distribute profits regularly, compare Bulgaria with its 10% corporate tax; in the Baltics, Lithuania offers newly formed small companies 0% for their first two years. For online business outside the EU, a US LLC is worth considering. All options are listed in the overview of all locations, and the tax comparison shows the rates side by side. Which structure fits in an individual case can be clarified in an initial consultation.
