§ 1 Scope
(1) These terms and conditions apply to all services provided by Compass Advisory LLC, 16192 Coastal Hwy., Lewes, DE 19958, USA (“Compass Advisory”), under the name “Auslandskompass” to its clients (“Client”).
(2) They apply to businesses and consumers. Where individual provisions apply only to one of these groups, this is expressly indicated.
(3) Deviating, conflicting or supplementary terms of the Client only become part of the contract if Compass Advisory expressly agrees to them in writing.
§ 2 Role of Compass Advisory
(1) Compass Advisory supports Clients in choosing a suitable location for company formation, residence and business activity abroad. Implementation – in particular the formation of companies, applications for licences, residence permits or tax numbers, and ongoing accounting – is carried out by independent service providers based in the respective target country (“Service Providers”) with whom Compass Advisory cooperates.
(2) At the Client’s request, Compass Advisory coordinates contact with the Service Provider and supports the coordination process, but does not itself provide the Service Provider’s services.
(3) Compass Advisory is not a law firm, a tax advisory firm or a credit institution. No client relationship within the meaning of professional regulations for lawyers or tax advisers is established.
§ 3 Services
(1) Information: Compass Advisory provides general information on company formation, taxes and residence abroad on its website.
(2) Initial call: In the initial call, the Client’s situation and goals are discussed and possible locations and structures are explored. The initial call is free of charge and non-binding.
(3) Coordination: At the Client’s request, Compass Advisory puts the Client in touch with a suitable Service Provider in the target country and coordinates communication between the Client and the Service Provider.
(4) Additional services: Compass Advisory provides additional services of its own, such as support with finding accommodation or dealing with authorities in the target country, only on the basis of a separate agreement. Their scope and fees are set out in the respective offer.
(5) Compass Advisory does not owe any particular result. This applies in particular to the registration of a company, the opening of a bank account, the granting of licences, visas or residence permits, and any particular tax treatment. These are decided exclusively by the competent authorities, registries and banks.
§ 4 Contracts with Service Providers
(1) Contracts for the services of a Service Provider are concluded exclusively between the Client and the respective Service Provider. Compass Advisory does not become a party to these contracts.
(2) The respective Service Provider is solely responsible for the content, quality, prices, deadlines and performance of its services. Its terms and conditions apply. Claims arising from these contracts must be asserted directly against the Service Provider.
(3) Compass Advisory selects Service Providers with care. Compass Advisory assumes no liability for the acts, omissions or obligations of Service Providers unless it is itself at fault in selecting them.
(4) The Client pays for the Service Provider’s services directly to the respective Service Provider.
§ 5 No legal or tax advice
(1) Compass Advisory does not provide legal or tax advice. The information on the website and in the initial call is of a general nature and does not replace individual advice from a lawyer or tax adviser.
(2) Assessing the legal and tax consequences in the Client’s country of residence is the responsibility of the Client and their advisers. Compass Advisory expressly recommends that every structure be discussed with the Client’s own tax adviser before implementation.
§ 6 Client’s obligations
(1) The Client provides all information and documents required for the services in a timely, complete and truthful manner.
(2) The Client is obliged to meet the legal identification and anti-money-laundering requirements imposed by Service Providers, registries and banks in the target country. Compass Advisory and the Service Providers are entitled to decline or terminate cooperation if these requirements are not met or if there are indications of unlawful use.
(3) Compass Advisory is not responsible for delays or disadvantages resulting from incomplete, late or incorrect information provided by the Client.
§ 7 Fees for own services
(1) For chargeable services of its own under § 3(4), the fee agreed in the respective offer applies.
(2) Unless otherwise agreed, invoices are payable without deduction within 14 days of receipt.
§ 8 Appointments
The Client may cancel or reschedule agreed appointments free of charge up to 24 hours before they begin, in particular via the link in the appointment confirmation.
§ 9 Confidentiality
Compass Advisory treats all information that becomes known to it in the course of cooperation as confidential. Information is passed on to Service Providers only to the extent necessary for the coordination requested by the Client.
§ 10 Liability
(1) Compass Advisory is liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health.
(2) In the event of slight negligence, Compass Advisory is liable only for breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose observance the Client may regularly rely. In this case, liability is limited to the foreseeable damage typical for the contract.
(3) Compass Advisory accepts no liability for the accuracy, completeness or timeliness of the general information on the website. Tax rates, thresholds and deadlines may change.
(4) § 4 applies to services, acts and omissions of Service Providers.
(5) Mandatory statutory liability provisions, in particular in favour of consumers, remain unaffected.
§ 11 Force majeure
Compass Advisory is not liable for delays or obstacles to performance due to circumstances beyond its control, in particular official measures, changes in legislation, sanctions, disruptions at registries or banks, and natural events.
§ 12 Right of withdrawal for consumers
If the Client is a consumer and concludes a distance contract for chargeable services, the statutory right of withdrawal applies. The withdrawal notice will be provided separately before the contract is concluded.
§ 13 Data protection
The processing of personal data is governed by the privacy policy on this website.
§ 14 Governing law and jurisdiction
(1) The laws of the State of Delaware, USA, apply, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of their country of habitual residence.
(2) The place of jurisdiction is the Client’s registered office or place of residence. Mandatory statutory places of jurisdiction remain unaffected.
§ 15 Final provisions
(1) Amendments and additions must be made in text form.
(2) Should any provision of these terms and conditions be wholly or partly invalid, the validity of the remaining provisions remains unaffected.
(3) These terms and conditions are available in German and English. In the event of discrepancies, the German version prevails.
